Terms of Service

These Terms of Service (“Terms”) govern your use of SignoffRoom. By creating an account, you agree to these Terms. If you’re entering into these Terms on behalf of an organization, you confirm you have the authority to bind that organization.

1. The service

SignoffRoom is a version-specific approval platform. We provide: organization workspaces, release authoring with structured sections, version control, reviewer assignment, version-tied approvals with automatic staleness detection, final-lock workflow, Signoff Certificate generation, and exports.

2. Your account

• Keep your credentials confidential. You are responsible for activity under your account.
• Notify us at security@signoffroom.com if you suspect unauthorized access.
• You must be at least 18 years old to use SignoffRoom.

3. Acceptable use

You agree not to:

• Use SignoffRoom for any unlawful purpose, or to defraud or mislead.
• Upload content you don’t have the right to upload.
• Attempt to interfere with the security or integrity of the service.
• Reverse-engineer or attempt to extract source code, except as permitted by law.
• Use the service to send unsolicited commercial messages.

4. Your content

You retain all rights to the release content you upload to SignoffRoom. You grant us a limited license to host, display, transmit, and process your content solely to provide the service to you and your authorized reviewers. We do not use your content to train any model.

5. Approvals and certificates

SignoffRoom records who approved which version of a release. The Signoff Certificate generated on lock is a record produced by the service reflecting the approvals captured at that point in time. SignoffRoom does not constitute legal advice, and the certificate is not a substitute for legal counsel. You are responsible for the legal, regulatory, and reputational consequences of any content you publish.

6. Plans and payment

• The free plan is free. Paid plans are billed monthly or annually in advance, in U.S. dollars.
• Fees are non-refundable except as required by law. Downgrades take effect at the end of the current billing period.
• We may change pricing on at least 30 days’ notice. Existing annual subscribers will not see a mid-term price change.

7. Termination

You can cancel at any time. We may suspend or terminate an account that violates these Terms, after notice where practical. On termination, you can export your data for 30 days; thereafter we delete it in accordance with our Privacy Policy. Sealed Signoff Certificates may be retained as a permanent record of approvals made through SignoffRoom.

8. Disclaimers

SignoffRoom is provided “as is.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, SignoffRoom’s aggregate liability arising out of or relating to these Terms or the service is limited to the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or $100, whichever is greater. In no event are we liable for indirect, incidental, special, consequential, or punitive damages.

10. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Exclusive venue and jurisdiction lies in the state and federal courts located in New York County, New York.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email to organization administrators at least 14 days before they take effect. Your continued use of SignoffRoom after the effective date constitutes acceptance.
